Flow CMS - Terms of service

Please read these Terms of Service ("Terms") carefully before using the Flow CMS website and services (the "Service") operated by Flow ("us," "we," "our").

Your access to and use of the Service is conditioned on your acceptance of and compliance with these Terms. These Terms apply to all visitors, users, and others who access or use the Service.

1. Account Terms

  • 1.1. You must be at least 18 years old to use our Service.
  • 1.2. You are responsible for maintaining the security of your account and password. We cannot and will not be liable for any loss or damage from your failure to comply with this security obligation.
  • 1.3. You are responsible for all content posted and activity that occurs under your account.

2. Services

  • 2.1. Flow CMS foundation package: The one-time project fee covers the design, development, and launch of a website based on one of our pre-defined design foundations, as detailed on our pricing page.
  • 2.2. Scope of Work: Any features, functionalities, or design elements not explicitly listed in the purchased package are considered out of scope and will require a separate agreement and quote.
  • 2.3. Client Responsibilities: You agree to provide all necessary content (text, images, logos, etc.) in a timely manner. Delays in content provision may impact the project timeline.
  • 2.4. Revisions: The foundation package includes two rounds of revisions during the build phase. Additional revisions may be subject to additional fees.

3. Payment Terms

  • 3.1. Fees: You agree to pay all fees as specified in your chosen plan. Fees are non-refundable except as required by law or as otherwise stated in these Terms.
  • 3.2. One-Time Project Fee: This fee covers the initial design, development, and launch services. It does not include ongoing managed services after the first year, unless otherwise specified.
  • 3.3. Price Changes: We reserve the right to change our prices upon 30 days' notice. Such notice may be provided at any time by posting the changes to the Flow CMS website or through other communication.

4. Intellectual Property

  • 4.1. Your Content: You retain all intellectual property rights to the content you provide to us (text, images, branding). You grant us a license to use this content solely for the purpose of providing the Service to you.
  • 4.2. Our Platform & Design Foundations: We retain all intellectual property rights to the Flow CMS platform, codebase, and our pre-defined design foundations. Upon full payment, we grant you a perpetual, non-exclusive license to use the final assembled website for your business.
  • 4.3. Third-Party Tools: Your website may utilise third-party tools and services (e.g., fonts, icons). Their use is subject to their respective licenses.

5. Managed Services & Support

  • 5.1. Managed Services: If purchased, our managed service includes hosting, security monitoring, routine updates, and technical support as defined on our pricing page.
  • 5.2. Support Scope: Support covers issues related to the standard operation of your Flow CMS website. It does not cover:
    • Content creation or population.
    • Training beyond the initial handover session.
    • Modifications or new features outside the original scope.
    • Issues caused by third-party plugins or code not approved by us.

6. Cancellation and Termination

  • 6.1. Managed Service After First Year The first year of managed service (including hosting, security, and updates) is included in your initial project fee. To continue receiving these services after the first year, an annual fee is required. This annual fee is non-refundable.

  • 6.2. Your Termination Rights You may choose not to renew the annual managed service. To do this, you must provide us with written notice at least 30 days before the end of your current annual term.

  • 6.3. Our Termination Rights We may suspend or terminate your access to the managed services immediately, without liability, for reasons including but not limited to:

    • Non-payment of the annual fee.
    • A violation of these Terms and Conditions.
    • Your use of the service in a way that poses a security risk or is unlawful.
  • 6.4. Effect of Termination If your managed service is terminated or not renewed:

    • Your website files and database can be provided to you upon request.
    • You are responsible for migrating your website to a new host.
    • We will not be liable for any loss or damage resulting from the termination of service.

7. Disclaimer and Limitation of Liability

The Service is provided on an "AS IS" and "AS AVAILABLE" basis. To the fullest extent permitted by law, Flow shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits or revenues, whether incurred directly or indirectly, or any loss of data, use, goodwill, or other intangible losses, resulting from your access to or use of or inability to access or use the Service.

8. Governing Law

This agreement shall be governed by and interpreted in accordance with the laws of the State of Queensland, Australia.

9. Changes to Terms

We reserve the right, at our sole discretion, to modify or replace these Terms at any time. By continuing to access or use our Service after those revisions become effective, you agree to be bound by the revised terms.
